Welcome to Ziegler Locks (the "Company", "we", "us", or "our"). By accessing our website located at zieglerlocks.ca (the "Site") or requesting, booking, or purchasing our residential or automotive locksmith services, you agree to be bound by the following Terms of Service ("Terms"). Please read them carefully. If you do not agree to these Terms, you must immediately cease using the Site and our services.
1. Scope of Services & Travel Fees
Ziegler Locks provides mobile residential and automotive locksmith services throughout Hartney, MB, and the surrounding Westman region.
Dispatch Policy: All service requests require a confirmation of dispatch. A travel fee is calculated based on the one-way distance from our office in Hartney, MB, to your location.
Non-Refundability: Travel fees and any required dispatch deposits (up to $40.00) are immediately due upon confirmation and are strictly non-refundable, regardless of whether a job is completed, cancelled upon arrival, or refused.
After-Hours Surcharge
An additional flat surcharge of $60.00 applies to any dispatch before 7:00 a.m., after 5:00 p.m., or anytime on weekends and statutory holidays.
2. Legal Authority & Identity Verification
To prevent unauthorized access to properties or vehicles and to comply with provincial security regulations, clients must establish legal right-of-entry before work begins.
Warrant of Authority: By ordering services, you warrant, represent, and guarantee that you are the lawful registered owner, authorized tenant, or legally designated agent of the residential property or vehicle presented.
Verification Documents: You agree to provide valid government-issued photo identification and verifiable proof of ownership/authorization (e.g., utility bill, lease, or vehicle registration) upon request.
Data Archiving: You explicitly authorize Ziegler Locks to document, capture, and securely store images or records of these verification documents, including Vehicle Identification Numbers (VIN), within our secure, encrypted customer database in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA).
3. Service Finality & Payments
Payment Terms: Payment is due in full on-site immediately upon completion of services and prior to the release of keys, remotes, hardware, or vehicles, unless otherwise agreed in writing.
Accepted Methods: We accept major credit cards, debit cards, contactless mobile payments (Apple Pay, Google Pay), cash, or Afterpay financing options securely processed through Square. Interac E-Transfers require express approval prior to service.
No Refunds: All completed locksmith services, on-site labor, custom-cut keys, transponder keys, remote fobs, and installed hardware sales are completely final and strictly non-refundable. If on-site technical work has commenced, no credits or reimbursements will be issued for mid-job cancellations.
Late Balances: Invoices remaining unpaid 30 days past the service date accumulate applicable interest and administrative fees, and are subject to immediate collections or legal recovery actions.
4. Pre-Existing Conditions & Limitation of Liability
Direct Damage Only: Ziegler Locks is solely responsible for physical property damage directly and exclusively caused by the proven negligent execution of its own locksmithing work.
Exclusion of Pre-Existing Issues: We are explicitly not liable for any pre-existing deficiencies, failures, or wear on your property or vehicle. This includes, but is not limited to:
- Pre-existing structural shifting, warped door frames, or alignment issues affecting lock function.
- Worn, stripped, weathered, or failed internal ignition cylinders, door latches, window seals, or internal linkages affected during standard bypass or picking procedures.
- Pre-existing electronic, immobilizer, transponder module, or computer faults (ECU/BCM) within a vehicle's electrical system occurring during key programming or technical decoding.
Financial Cap on Liability: To the maximum extent permitted by applicable law, the total collective liability of Ziegler Locks, its owners, and employees for any single claim arising out of or related to our services shall not exceed the total amount invoiced and actually paid for that specific service.
5. Shortened Claim Window (Statute of Limitations)
You explicitly agree that any claim, dispute, small claims action, or arbitration arising out of or related to services rendered or hardware installed by Ziegler Locks must be formally commenced within six (6) months from the date the service was performed. Failure to bring a claim within this six-month window constitutes an absolute, unconditional, and irrevocable waiver of the claim, and it shall be forever contractually barred, regardless of any longer statutory limitation periods permitted under provincial law.
6. Mandatory Individual Arbitration, Class Action Waiver, & Costs
Binding Arbitration: Any dispute, controversy, or claim arising out of, or relating to, these Terms or our services shall be settled exclusively by binding arbitration in accordance with the Arbitration Act of Manitoba.
Upfront Costs: To initiate an arbitration proceeding, the initiating party (the Client) explicitly agrees to pay, cover, and satisfy all arbitrator fees, administrative expenses, and initial filing costs upfront.
Individual Basis & Class Action Waiver: All proceedings shall be conducted strictly on an individual basis. You explicitly waive any right to commence, join, or participate in any class action lawsuit, class-wide arbitration, or collective representative proceeding against Ziegler Locks.
7. Recovery of Legal Fees ("Loser Pays")
In the event that any arbitration, small claims court proceeding, or legal action is brought by either party to enforce, interpret, or defend claims arising under this contract, the prevailing party shall be legally entitled to recover from the non-prevailing party all reasonable attorney’s fees, legal costs, court fees, and actual disbursements incurred from the very inception of the dispute through all final appeals.
8. Force Majeure (Delays Beyond Our Control)
Ziegler Locks shall not be held liable or responsible for any failure to perform, damage, or logistical delays resulting from circumstances beyond its reasonable control. This includes, but is not limited to: severe Manitoba weather events, blizzards, frozen lock hardware, road closures, hazardous driving conditions, acts of God, labor or material shortages, supply chain disruptions, or third-party manufacturer key programming software failures.
9. Governing Law & Jurisdiction
These Terms and all transactions with Ziegler Locks are governed strictly by the laws of the Province of Manitoba and the federal laws of Canada applicable therein. Any legal proceedings, small claims actions, or permitted hearings not subject to standard arbitration must be brought exclusively within the appropriate judicial district court located in Manitoba.
10. Severability
If any specific provision, sentence, or clause of these Terms is deemed invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction under local or provincial laws, that specific part shall be modified or severed to the minimum extent necessary. The invalidity of that specific part shall not impact or weaken the validity, legality, or enforceability of any other remaining clause in these Terms, which will remain in 100% full force and effect.
11. Entire Agreement & Amendments
This document, along with any digital service agreements or custom clauses acknowledged via Square Contracts, constitutes the entire agreement between the Client and Ziegler Locks regarding our services. We reserve the right to modify these website Terms at any time without prior notification. Your continued booking of services or navigation of our Site following updates constitutes absolute acceptance of the revised Terms.
